WHEREAS, Article VII, Section 1(c) of the Bylaws assigns to the Board of Directors all of the powers and duties necessary for the administration of the affairs of the Association not otherwise reserved to the membership; and

WHEREAS, the Board deems it necessary to establish procedures for adopting and recording Special Resolutions of the Board.

NOW, THEREFORE, BE IT RESOLVED THAT the following guidelines for Special Resolutions are hereby adopted:

The proposed Special Resolution shall be read and acted upon in any regular or special meeting of the Board. To be adopted, a Special Resolution must receive the affirmative votes of a majority of the Board members present and voting at the meeting.

An executed copy of the full Resolution shall be placed in Section III of the Book of Resolutions and shall be attached to the Minutes of the meeting at which it was adopted.
